Terms of Service

Please read these Terms of Service ("Terms", "Agreement") carefully before using the software and services provided by Collaboration Sonar ("Company", "We", "Us", or "Our"). By purchasing a license or using our software, You agree to be bound by these Terms.

Definitions

• Company refers to Collaboration Sonar, Wroclaw, Poland.
• Software refers to the CollaborationSonar application and all related components provided under license.
• License refers to the right granted to You to install and use the Software for a specified period of time.
• You (or "Your") refers to the company or legal entity purchasing the License and using the Software.
• Website refers to https://collaborationsonar.com.

License Grant

Subject to the terms of this Agreement and upon payment of the applicable fees, the Company grants You a non-exclusive, non-transferable, limited license to install and use the Software for the duration of the license period purchased.

The License is granted for a specific period of time as agreed upon at the time of purchase. Upon expiration of the license period, You must either renew the License or cease using the Software.

Permitted Use

• Install and use the Software within Your organization for its intended purpose.
• Request installation assistance from the Company.

Restrictions

You shall not:

• Sublicense, sell, lease, or distribute the Software to any third party.
• Modify, reverse engineer, decompile, or disassemble the Software.
• Remove or alter any proprietary notices, labels, or marks on the Software.
• Use the Software beyond the scope of the granted License.
• Share Your License credentials or access with unauthorized parties.

Installation and Support

The Company may provide assistance with the installation of the Software at Your request. Any installation support is provided on a reasonable-efforts basis. You are responsible for ensuring that Your systems meet the requirements necessary to run the Software.

Fees and Payment

License fees are due as agreed upon at the time of purchase. All fees are non-refundable unless otherwise specified in a separate written agreement between You and the Company.

The Company reserves the right to modify pricing for future license periods. Any price changes will be communicated to You before the renewal of Your License.

License Renewal and Termination

Renewal

License renewal terms and pricing will be communicated to You prior to the expiration of Your current license period. Renewal is subject to mutual agreement.

Termination by You

You may choose not to renew Your License at the end of the current license period. Upon termination, You must cease all use of the Software and remove it from Your systems.

Termination by the Company

The Company may terminate this Agreement immediately if You breach any of these Terms. Upon termination for breach, You must immediately cease using the Software and remove it from Your systems. No refund will be provided in case of termination due to breach.

Intellectual Property

The Software and all associated intellectual property rights remain the exclusive property of the Company. This Agreement does not transfer any ownership rights to You. You are granted only the rights expressly stated in this Agreement.

Disclaimer of Warranties

The Software is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

The Company does not warrant that the Software will be uninterrupted, error-free, or free of harmful components.

Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the Software.
• Any unauthorized access to or use of the Software.
• Any interruption or cessation of the Software.
• Any bugs, viruses, or similar issues transmitted through the Software.

In no event shall the Company's total liability exceed the amount paid by You for the License in the twelve (12) months preceding the event giving rise to the claim.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of this Agreement. This obligation survives termination of this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Poland. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts in Wroclaw, Poland.

Changes to These Terms

The Company reserves the right to modify these Terms at any time. We will notify You of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Software after such changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
